Agreement to terms
These Terms of Service (the Terms) are a binding agreement between you and BathVision (a Agentic PNW product) (we, us, our) governing your access to and use of the BathVision platform, websites, embeddable visualizer widgets, dashboards, and related services (collectively, the Service). By creating an account, subscribing, or using the Service, you agree to these Terms. If you are using the Service on behalf of a business, you represent that you are authorized to bind that business.
Definitions
Customer (you) means the business or individual that subscribes to the Service. End-User means a visitor who interacts with a visualizer you have embedded on your own website. Customer Content means the branding, logos, business details, and other materials you provide. End-User Content means photos and information submitted by your End-Users through the visualizers.
Eligibility and accounts
You must be at least 18 years old and able to form a binding contract to use the Service. You are responsible for the accuracy of your account information, for keeping your credentials secure, and for all activity that occurs under your account. Notify us promptly of any unauthorized use.
Subscriptions, billing, and renewals
Paid plans are offered on a monthly or annual basis and are sold and processed by our payment provider, Paddle, who acts as the Merchant of Record for all purchases. By subscribing, you authorize recurring charges to your payment method. Subscriptions renew automatically at the then-current price for the same billing period until cancelled. Applicable taxes are determined and collected by Paddle. Refunds and cancellations are governed by our Refund Policy.
Free or trial access
If we offer a free tier, trial, or demo, we may modify or discontinue it at any time. Some onboarding steps may operate in a demonstration mode until billing is activated; access to live, branded tools requires an active paid subscription.
Acceptable use
You agree to use the Service only for lawful home-services sales and marketing purposes, and to embed the visualizers only on websites you own or are authorized to operate. You agree not to: (a) misuse, reverse engineer, or attempt to disrupt the Service; (b) resell or sublicense the Service except as expressly permitted; (c) upload unlawful, infringing, or harmful content; or (d) use the Service to mislead consumers about the nature of AI-generated previews.
Customer Content and End-User data
You retain ownership of your Customer Content and grant us a non-exclusive license to host, display, and process it to operate the Service and provision your tools. You are responsible for your relationship with your End-Users, including providing your own privacy disclosures and obtaining any consents required for End-Users to upload photos and submit quote requests. You represent that you have the rights necessary to provide all content you submit.
AI-generated previews
The visualizers produce AI-generated, illustrative previews of potential refinishing results. Previews are for visualization purposes only, are not guarantees of a final outcome, and may differ from actual results due to materials, surfaces, lighting, and workmanship. You are responsible for setting appropriate expectations with your End-Users.
Intellectual property
The Service, including its software, design, and trademarks, is owned by Agentic PNW and its licensors and is protected by law. Subject to these Terms and your active subscription, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service and to display the visualizers on your authorized websites. No other rights are granted.
Third-party services
The Service relies on third-party providers (including payment, hosting, authentication, database, email, and AI providers). Your use may be subject to their terms, and we are not responsible for third-party services we do not control.
Availability and changes
We strive for high availability but do not guarantee that the Service will be uninterrupted or error-free. We may modify, suspend, update, or discontinue features at any time. We may also suspend access for nonpayment or violations of these Terms.
Disclaimers
THE SERVICE IS PROVIDED ON AN AS IS AND AS AVAILABLE BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE FULLEST EXTENT PERMITTED BY LAW.
Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, Agentic PNW WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS OR REVENUES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID TO US IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
Indemnification
You agree to indemnify and hold us harmless from claims, damages, and expenses arising out of your Customer Content, your use of the Service, your relationship with your End-Users, or your violation of these Terms or applicable law.
Termination
You may cancel at any time as described in the Refund Policy. We may suspend or terminate your access for breach of these Terms or nonpayment. Upon termination, your right to use the Service ends and we may deactivate your provisioned tools.
Governing law
These Terms are governed by the laws of the State of Oregon, United States, without regard to conflict-of-law principles. The exclusive venue for disputes will be the state or federal courts located in Oregon, to the extent permitted by law.
Changes to these Terms
We may update these Terms from time to time. Material changes will be posted here with an updated date and, where appropriate, communicated to you. Continued use of the Service after changes take effect constitutes acceptance.
